Obtaining merger control clearance for Polhem Infra’s acquisition of a minority stake in Pori Energia

We advised Polhem Infra on its acquisition of a minority stake in Pori Energia, including obtaining merger control clearance from the Finnish Competition and Consumer Authority.

The acquisition gave Polhem Infra and the City of Pori joint control over Pori Energia. The case involved discussions on jurisdictional questions between the parties and the European Commission. Eventually, the transaction was notified to the FCCA, which cleared it unconditionally in Phase I.

Polhem Infra, jointly owned by three of Sweden’s state pension funds, generates returns to Sweden’s national income pension system by investing in and managing critical infrastructure in the Nordic countries.

Pori Energia is an energy utility that operates multiple businesses, both directly and indirectly through its subsidiaries and a number of joint ventures, in the Satakunta area in Western Finland.
