We advised Nordisk Film Games in its SEK 45 million investment into Nitro Games, the Finnish mobile game developer and publisher listed on the Nasdaq First North Growth Market in Stockholm.

The investment will be carried out through a share subscription of SEK 25 million and a convertible loan agreement in the amount of SEK 20 million. Nordisk Film Games has agreed to a 24-month lock-up period subject to customary terms and will receive two board seats in Nitro Games. Nordisk Film Games will become the largest shareholder in Nitro Games subsequent to the share subscription.

The subscription price in the share issue represents a 21.56 percent premium to the volume weighted average trading price of the Nitro Games share during the last 30 trading days before announcement of the transaction.

Nordisk Film Games is an investor in the computer game space and is part of leading Nordic entertainment company Nordisk Film. Nordisk Film is owned by the media group Egmont.
