Nebula is a market leading provider of cloud, managed and network services to Finnish SME’s.

We provied strategic and legal advice in the sale process, including advice in the negotiations and on the transaction documentation, financing and tax matters. We were responsible for the coordination of the overall due diligence process and the legal due diligence. We advised Ratos on the competition law aspects of the project, including advice related to the merger control notification to the Finnish Competition and Consumer Authority.

We also advised Ratos in 2013 when Ratos invested in Nebula, and therefore we had a deep insight into the history of the target and Ratos’ investment providing added value to the process. The transaction involved topical legal questions related to cloud services, data protection, intellectual property and information technology.

The transaction was one of the largest PE deals on the Finnish market in 2017.
